Acceptance of terms and conditions
By registering or using any Service provided by examgrindsonline.ie ("The Web site") you are agreeing to accept the following terms and conditions which govern access and your use of the examgrindsonline.ie web site. The terms and conditions shall constitute a legal agreement between you and exam grinds online Ltd, ("The Owner") of examgrindsonline.ie with respect to the Services provided through the Web site and shall be binding in all circumstances.
OUR SERVICE - TO HELP YOU UNDERSTAND WHAT YOU CAN EXPECT FROM US
examgrindsonline.ie ("The Web site") is an online market place designed to facilitate the provision of online lessons and tuition (" Tutoring Service(s)") by independent freelance teachers (" Teachers") to purchasers of Tutoring Services (" Students"). Students should be aware that neither examgrindsonline.ie, The Owner or any employee thereof is responsible for the provision, quality, accuracy, timely completion or legality of any Tutoring Service provided by a registered Teacher at the request of a Student.
By registering or using any Service provided by examgrindsonline.ie, Students acknowledge that the examgrindsonline.ie web site functions solely as an intermediary to facilitate the provision of Tutoring Services between independent Teachers and Students. By registering or using any Service provided by examgrindsonline.ie, Students acknowledge that neither examgrindsonline.ie nor the Owner are party to any contract, or agreement, for the provision of Tutoring Services by Teachers to Students. Students further agree that they shall not hold the Owner or examgrindsonline.ie liable for the provision, quality, accuracy, timely completion or legality of any Tutoring Service provided by a registered Teacher.
Students acknowledge and agree that neither examgrindsonline.ie nor the Owner is liable for any loss or damage which may be incurred through use of the examgrindsonline.ie web site, or as a result of any reliance placed by Students on the accuracy or completeness of any Tutoring Service provided by a registered Teacher.
examgrindsonline.ie and the Owner take reasonable measures to ensure that only high quality Teachers are permitted to provide Tutoring Services through the examgrindsonline.ie web site. All Teachers are required to submit a detailed profile to examgrindsonline.ie including details of their teaching qualifications and experience which must be approved before a Teacher is permitted to accept Students. Neither examgrindsonline.ie nor The Owner are responsible for guaranteeing the validity of any individual registered Teacher's qualifications or background and make no guarantees as to the accuracy of information supplied to ourselves by Teachers. Although examgrindsonline.ie and Exam Grinds Ltd, will do our upmost to ensure qualifications and teaching criteria is up to standard. Any matters of fraudulent teaching criteria will be pursued and may result in criminal prosecution.
GENERAL TERMS ALL USERS
This agreement may be changed at our discretion at any time and it shall always be the responsibility of the User to ensure that they are fully aware of the terms and conditions of use. Continued use of the examgrindsonline.ie web site will be deemed to constitute acceptance of any variation of the terms and conditions of use.
In order to use the Service(s) provided by examgrindsonline.ie both Teachers and Students will be required to register an online account.
It is the sole responsibility of each registered Student and each registered Teacher to ensure that all personal details, including contact email addresses are up to date and accurate at all times. By accepting these terms and conditions all Users hereby release examgrindsonline.ie from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, which arise due to inaccurate personal information being held on the examgrindsonline.ie web site, systems and supporting infrastructure and hardware. All Users are solely responsible for the content and accuracy of any information published by them on examgrindsonline.ie. Neither examgrindsonline.ie nor the Owner is liable for any loss or damage which may be incurred through reliance on any information published on the examgrindsonline.ie web site by any registered User.
examgrindsonline.ie and the Owner reserve the right to suspend or terminate the membership of any registered User for any reason. No refunds, payments or compensation of any kind will be paid to registered Users whose registration has been terminated due to breach of these terms and conditions. Teachers may end their membership at any time subject to the timely completion of any outstanding Tutoring Services they have accepted to undertake on behalf of a Student.
Students may end their membership at any time but shall remain liable to the Owner and the relevant Teacher(s) for any monies outstanding in connection with Tutoring Services carried out at their request by a Teacher.
GENERAL USER RESPONSIBILITIES
All registered Users agree not to post, distribute, publish or by any other means transmit material which is offensive, including offensive, photography or any other material of an offensive or sexual nature.
Breach of this condition by any member will result in termination of that members registration and may result in the appropriate authorities being notified.
All registered Users agree not to post, distribute, publish or by any other means place any computer code on the examgrindsonline.ie web site which directly or indirectly links to another web site without our express permission.
All registered Users agree not to distribute or share their Username and / or Password details with any other individual or company for the purposes of allowing others to utilize the services provided through examgrindsonline.ie.
All registered Users warrant and self certify that they can form legally binding contracts under their applicable law.
All registered Users will defend, indemnify, and hold harmless examgrindsonline.ie and The Owner, its officers, directors, employees, agents, affiliates and third parties, for any losses, costs, liabilities and expenses (including legal fees) relating to or arising out of your use of examgrindsonline.ie
All registered Users agree that neither examgrindsonline.ie nor The Owner will be liable for any incidental, consequential, or indirect damages (including, but not limited to, any deaths, threats, torts or injuries committed by any other registered User, damages for loss of data, loss of programs, cost of service interruptions or procurement of substitute services) directly or indirectly arising out of the use or inability to use the Tutoring Services provided through examgrindsonline.ie.
You will not in any way copy, modify, publish, transmit, display, sell, distribute or reproduce copyrighted material, trademarks or other protected proprietary information without the express written consent of the Owner of such materials.
STUDENT REGISTRATION
When registering as a Student you will be required to provide your desired Username; desired Password and your email address. To use the examgrindsonline.ie platform you will also be required to setup a Skype account and supply us with your Skype name. www.skype.ie .
Use of any information supplied by you will be in accordance with the web site privacy policy. For the duration of your membership you agree to be bound by the terms and conditions of use.
TEACHER REGISTRATION
When registering as a Teacher you will be required to provide:
-your desired username
-desired password
-your email address
-Certificate of Registration with the Teaching Council of Ireland
-Certification of Teaching Qualification/s
-Skype Name
-accept the terms and conditions of use.
Following registration Teachers will be required to create a detailed profile containing additional information concerning their background, teaching experience, qualifications and teaching method, which will enable Students to make an informed choice. All Teachers are required to submit their completed detailed profile to examgrindsonline.ie which must be approved before a Teacher is permitted to accept Students. examgrindsonline.ie reserves the right to make minor amendments, corrections and alterations to Teacher profiles for the purposes of ensuring that Teacher profiles are presented in a professional manner and are error free.
Use of any information supplied by you will be in accordance with the web site privacy policy. For the duration of your membership you agree to be bound by the terms and conditions of use.
STUDENT BOOKING AND PAYMENT
By accepting these terms and conditions, all Students agree that they will be responsible to make payments with teachers as agreed by both parties and examgrindsonline.ie will not be involved in resolving payment disputes.
All registered Students agree to examgrindsonline.ie that they are acting as agent for them for the purposes of enabling booking tuition with a particular Teacher. All Booking Fees charged by Teachers with the booking and scheduling of lessons with registered Teachers are due solely from the registered Student who made the booking. All Students must provide an email address for the purposes of allowing a registered Teacher to issue a PayPal invoice to that registered Student for the Tutor Fee due in respect of any Tutoring Service provided by that Teacher to that Student.
STUDENTS-REFUNDS-CANCELLATION- RESCHEDULING
Should a registered Student be unable to attend a booked lesson or lessons, that Student may reschedule the booked lesson or lessons to any other available time or times with the same Teacher at no cost or penalty providing at least 24 hours notice can be given to the Teacher concerned. Lessons should not be rescheduled less than 24 hours before the lesson is due to commence. Cancellation as opposed to rescheduling of a booked lesson or lessons by a registered Student will result in the forfeit of the Booking Fee paid in respect of the cancelled lesson or lessons and no refund will be made by either examgrindsonline.ie or exam grinds online Ltd to the registered Student in respect of the cancelled lesson or lessons. Lessons should not be cancelled less than 24 hours before the lesson is due to commence. This is a standard agreement we suggest for students and teachers but examgrindsonline.ie excepts no responsibility whatsoever for payment disputes.
Where a registered Student cancels a booked lesson or fails to attend a scheduled lesson they shall remain liable to the teacher concerned for the Tutor Fee due and that Teacher shall be entitled to invoice the Student concerned for the Tutor Fee due in respect of the cancelled or missed lesson. Where a registered Student cancels or fails to attend a booked lesson or lessons, any refund of Tutor Fees already paid directly to an individual Teacher in respect of the lesson or lessons will be at the sole discretion of the individual Teacher concerned and requests for a refund should be made by the individual Student directly to the individual Teacher concerned.
Registered Students are entitled to a full refund of the Booking Fee(s) paid in respect of a lesson or lessons which are cancelled by a Teacher with less than 24 hours notice, and in respect of a lesson or lessons where the Teacher fails to attend the lesson in its entirety. Please note that examgrindsonline.ie have no liability or responsibility for resolving Teacher, Student financial disputes and although we recommend Students and Teachers agree to this policy we are not responsible for enforcing it and we take no responsibility for any payment disputes. (We suggest that Teachers and Students use their own discretion outside of the recommendations). However as part of the Terms and Conditions we will endeavour to record any disputes and take appropriate action where necessary.
TEACHERS GENERAL TERMS
By accepting these terms and conditions all registered Teachers hereby agree that by placing an approved profile on examgrindsonline.ie they hold themselves out to be willing to contract directly with any registered Student, for the supply of Tutoring Services. Furthermore, all registered Teachers accept that they are solely responsible for the performance, quality and fulfilment of all contractual obligations between themselves and a registered Student of examgrindsonline.ie in respect of Tutoring Services scheduled with them by that Student.
By agreeing to these terms and conditions, Teachers warrant that they are self employed and therefore responsible for compliance with all income tax and other taxes which they should properly account for under the tax jurisdiction applicable to them.
examgrindsonline Limited and examgrindsonline.ie request that all Students seeking to register on examgrindsonline.ie verify their contact email details as part of the registration process.
examgrindsonline Limited and examgrindsonline.ie undertake this process to ensure that a valid email address is supplied to a registered Teacher for the purposes of issuing PayPal invoices to a registered Student in respect of Tutoring Services performed by a registered Teacher to that registered Student.
By accepting these terms and conditions all registered Teachers hereby release examgrindsonline.ie and exam grinds online Ltd from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, which arise due to a failure on the part of a registered Student to ensure that their personal contact details, including their contact email address, are accurate at all times.
All registered Teachers accept that it is their sole responsibility for invoicing a Student directly for their Tutor Fee and for the collection of all amounts due to themselves arising from contracts entered into by them with registered Students. Neither examgrindsonline.ie nor exam grinds online Ltd is responsible for collecting and / or distributing Teacher Fees from a Student to a Teacher. Should a registered Student fail to pay a registered Teacher then it is that Teacher's responsibility to resolve the dispute and arrange settlement of any monies owing to them and expressly not the responsibility of examgrindsonline.ie or exam grinds online Ltd.
All registered Teachers are required to invoice Students for their Teacher Fee using PayPal. It is solely the responsibility of Teachers to ensure that they can request and receive funds using PayPal.
COMPLIANCE WITH BOOKING PROCEDURE

By accepting these terms and conditions, Teachers agree not to contact students via email, Skype or other means with the intention to schedule and arrange a lesson with a Student in a way which is intended to circumvent our fee structure and avoid the payment of the subscription fee to examgrindsonline.ie.
Activity of this nature is specifically prohibited under our terms of service and undermines the trust, security and legitimacy of the examgrindsonline.ie marketplace.
Placing contact information (including URL's and images) on your teacher profile which directly or indirectly promote a service outside of the examgrindsonline web site is strictly prohibited.
DELIVERY OF TEACHING SERVICES
All Teachers agree to provide high quality Teaching Services to any Student in a timely fashion. We reserve the right to terminate or suspend the membership of any Teacher whos rating falls below our required standard. We reserve the right to change the required standard at any time.
All registered Teachers agree to be fully responsible for contacting a Student at the correct scheduled time by initiating a Skype call.
LESSON CANCELLATION POLICY
Teachers should cancel a scheduled lesson with a Student at least 24 hours before the lesson is due to commence. Lessons should not be cancelled less than 24 hours before the lesson is due to commence. Teachers are requested to refund to a Student any amount paid by that Student to the Teacher in respect of the cancelled lesson. Upon cancellation of a scheduled lesson a full refund of any Fee paid by the Student should be refunded, however examgrindsonline.ie will not get involved in any Teacher, Student financial dispute or other. We suggest that the individual Teacher and Student use their own discretion in matters that occur outside of the recommendations.
COMMUNICATION BETWEEN USERS
examgrindsonline.ie and exam grinds online Ltd reserve the right to monitor communications between all registered Users for the purposes of ensuring the integrity and security of examgrindsonline.ie and to ensure the safety of all Users of examgrindsonline.ie. Communications between examgrindsonline.ie Users via any of the tools or functions we make available to you (including unopened messages sent via our messaging system) may be monitored by examgrindsonline.ie staff for the purposes of preventing fraud, the prevention of abuse of the examgrindsonline.ie web site.
USE OF SKYPE
By registering or using any service provided by examgrindsonline.ie, all Users acknowledge that neither examgrindsonline.ie nor the Owner are responsible for the quality of the Skype interface or the quality of communications between a Student and a Teacher using Skype. Skype is a third party communications solution and is in no way the responsibility of examgrindsonline.ie or exam grinds online Ltd.
DISPUTE RESOLUTION
Neither examgrindsonline.ie nor exam grinds online Ltd is responsible for the quality of Teaching Services provided by Teachers registered on examgrindsonline.ie.
Teachers and Students contract directly with each other for the provision of Teaching Services with examgrindsonline.ie facilitating the transaction on the part of the Student. Where there is a dispute by a registered Student over the quality, duration, standard or any other matter whatsoever with respect to a lesson or any associated Teaching Service performed by a registered Teacher, this is a matter to be resolved between the registered Student and the registered Teacher directly as the two principles to the contract.
No refunds will be made by examgrindsonline.ie or exam grinds online Ltd whatsoever in relation to the quality, duration or standard of the Tutoring Service provided, or any other issues which are under the control or influence of the Teacher concerned. Any dispute between Students and Teachers shall be resolved solely by The two parties.
Users hereby release The Owner and examgrindsonline.ie from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, related to any dispute arising between a Student and a Teacher.
OUR RESPONSIBILITIES TO YOU
examgrindsonline.ie and The Owner do not guarantee the accuracy or completeness of any information or content presented on the Web site.
Neither examgrindsonline.ie or examgrindsonline Ltd; are responsible for the delivery, quality or performance of any individual lesson booked through examgrindsonline.ie. By registering an account and agreeing to these terms and conditions, both Students and registered Teachers agree that performance of examgrindsonline.ie and examgrindsonline Ltd; contractual obligations to both registered Students and Teachers in respect of any individual booking will be deemed complete by notification of the details of that booking to the relevant Teacher and Student concerned via their respective personal pages on examgrindsonline.ie.
Any Service provided through examgrindsonline.ie is on an "as is" basis without any warranties or conditions of any kind, express, implied, statutory, in all communication with examgrindsonline.ie, The Owner, its affiliates or its representatives, or otherwise with respect to any Service.
examgrindsonline.ie and The Owner and/or its affiliates specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Neither, examgrindsonline.ie, nor The Owner nor its affiliates warrant that your use of any Service provided to Teachers or Students through examgrindsonline.ie will be secure, uninterrupted, always available, or error- free, or will meet your requirements, or that any defects in the Web site will be corrected.
examgrindsonline.ie and The Owner and its affiliates disclaim all liability, regardless of the form of action, for the acts or omissions of other Users (including unauthorized Users, or "hackers") of the Web site.
DEFINITIONS
("Users") refers to both independent freelance teachers and the purchasers of the teaching services. A User may be a Teacher, Student or both. ("The Web site") refers to the domain examgrindsonline.ie (“Teaching/tutoring Service(s)") means any service provided by a Teacher to a Student via the Web site. ("Service(s)") refers to any service provided by examgrindsonline.ie to facilitate the provision of Tutoring Services by a Teacher to a Student. ("The Owner") refers to Exam Grinds Online Ltd; registered in Ireland; Company No. 3390779HH ("Teacher/Tutors") refers to all registered independent freelance Teachers/Tutors. ("Students") refers to any purchaser of Tutoring Services through the examgrindsonline.ie web site ("Booking Fee(s)") refers to the total fee(s) payable in advance by a Student to schedule lesson time with a Teacher through examgrindsonline.ie this is entirely at the discretion of the teacher. ("Teacher/Tutor Fee") refers to the fee per lesson as set by any individual Teacher. ("Lesson Fee") refers to the total fee per lesson being the Booking Fee plus the Tutor Fee. ("Confidential Information") refers to any information whatsoever and howsoever supplied with the exception of information that is in the public domain or must be disclosed to comply with the law.

Teachers are reminded that they must conduct themselves in a professional manner at all times when giving a lesson through skype. A substantial amount of students seeking lessons online will be under the age of 18. Taking this into consideration we strongly advise you be mindful of your words and actions and how they could be construed in a certain light. Any complaints can be made through email and will be quickly investigated by administration. Examgrindsonline.ie takes no responsibility for the actions of tutors or students that may be deemed unacceptable. We will of course endeavour to resolve all complaints and remove any wrongdoers from our service. Again, we take no responsibility for any payment disputes that may happen but we will act as an intermediary in an attempt to resolve such matters.
LAWS & REGULATIONS
The provisions of this Agreement shall be governed by the laws of Ireland. The provisions of this agreement are severable and, if any provision of this User Agreement is held to be invalid or unenforceable, that provision may be removed and the remaining provisions will be enforced.
